Agreement Overview

This Commercial License Agreement (the "Agreement") grants you the right to use LumiDSL in proprietary and closed-source software projects, along with permission to use the LumiDSL trademark in specific contexts.

Parties:

  • Licensor: Pantopie
  • Licensee: The individual or legal entity that has accepted this Agreement, referred to herein as "You" or "Licensee"

Effective Date: The date on which Licensee receives written confirmation of this Agreement from Pantopie
License Term: Perpetual (subject to termination provisions)


1. What This License Grants You

1.1. Software Rights

Under this Commercial License, You may:

Use LumiDSL in closed-source software — Integrate LumiDSL into proprietary applications without making your source code public.

Distribute LumiDSL with your products — Include LumiDSL runtime, libraries, and tools with your commercial software (binary distribution).

Modify LumiDSL for internal use — Adapt or modify LumiDSL to fit your specific needs without publishing those modifications.

Deploy at scale — Use LumiDSL in commercial products, SaaS platforms, mobile apps, desktop applications, or any other commercial context.

1.2. Trademark Rights

Under this Commercial License, You may:

Use "Powered by LumiDSL" in marketing — Display "Powered by LumiDSL" in your marketing materials, product documentation, website, and promotional content.

Reference LumiDSL in product descriptions — State that your product "uses LumiDSL," "includes LumiDSL," or "is built with LumiDSL."

Use the LumiDSL logo — Display the official LumiDSL logo in contexts where you are accurately describing your use of LumiDSL, subject to brand guidelines.

1.3. Support and Updates

This license includes:

  • Software Updates: Access to all LumiDSL updates and new versions released during the license term.
  • Email Support: Priority email support for technical questions and integration assistance at hello@pantopie.studio.
  • Documentation: Access to all official LumiDSL documentation, guides, and resources.

2. What You Cannot Do

2.1. Restrictions

You may NOT:

Rebrand LumiDSL — You cannot rename LumiDSL or present it as your own technology in a way that obscures its origin.

Sublicense or resell LumiDSL — You cannot sell, rent, lease, or sublicense LumiDSL as a standalone product. (You CAN include it in your own products.)

Compete with the Licensor — You cannot use this license to create a competing product that is primarily focused on providing LumiDSL or a similar domain-specific language as its core offering.

Publish modified core source code — While you can modify LumiDSL internally, you cannot distribute modified versions of the LumiDSL source code to third parties without written permission.

Remove copyright notices — You must preserve all copyright, trademark, and attribution notices in any distributions of LumiDSL.


3. Attribution and Branding

3.1. Required Attribution

All products or services that use LumiDSL under this Commercial License must include the following attribution in at least one of these locations:

  • Product documentation
  • About/Credits screen or dialog
  • README or license file
  • Website footer or legal page

Required Attribution Text:

"This product uses LumiDSL, a domain-specific language developed by Pantopie.
LumiDSL is a trademark of Pantopie."

3.2. Optional "Powered by" Badge

You may optionally display a "Powered by LumiDSL" badge or logo in your product, marketing materials, or website. The Licensor will provide official badge assets and brand guidelines.

3.3. No Misleading Claims

You must not suggest that your product is officially endorsed, certified, or developed by Pantopie unless a separate partnership or endorsement agreement is in place.


4. License Fees and Payment

4.1. License Fee Structure

License fees are determined on a per-agreement basis and communicated to the Licensee in writing prior to execution. Pricing tiers may vary based on business size, usage scope, and deployment context. Contact hello@pantopie.studio for current pricing.

4.2. Payment Terms

  • Payment is due within 30 days of invoice date
  • Accepted payment methods: bank transfer or credit card (as agreed per invoice)
  • Late payments may result in license suspension after a 15-day grace period

4.3. Refund Policy

Fees paid under this Agreement are non-refundable except where required by applicable law or as explicitly stated in the individual order confirmation.


5. Ownership and Intellectual Property

5.1. Ownership

LumiDSL, including all source code, documentation, trademarks, and related intellectual property, remains the exclusive property of Pantopie. This Agreement grants You a license to use LumiDSL; it does not transfer ownership.

5.2. Your Proprietary Work

You retain full ownership of:

  • Your proprietary source code
  • Applications and products you build using LumiDSL
  • Any custom modifications you make to LumiDSL (though you cannot redistribute them)

5.3. Feedback and Contributions

If You provide feedback, bug reports, or suggestions for improvements to LumiDSL, the Licensor may use such feedback without obligation or compensation to You. Any code contributions You make to the official LumiDSL project (if offered the opportunity) will be governed by a separate Contributor Agreement.


6. Warranty and Support

6.1. Limited Warranty

LumiDSL is provided "AS IS" without warranty of any kind, express or implied. The Licensor does not warrant that LumiDSL will be error-free, uninterrupted, or suitable for any particular purpose.

6.2. Support Services

The Licensor will provide reasonable technical support via email at hello@pantopie.studio during the term of this Agreement. Support is limited to:

  • Assistance with integration and usage questions
  • Bug reports and fixes (addressed in future updates)
  • Clarifications on LumiDSL functionality and documentation

Support does not include:

  • Custom development or feature requests
  • Debugging of Licensee's proprietary code
  • On-site consulting (available under separate agreement)

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Licensor shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities, arising from the use or inability to use LumiDSL, even if advised of the possibility of such damages.

The Licensor's total aggregate liability under this Agreement shall not exceed the total fees paid by Licensee for the Commercial License in the 12 months preceding the claim.


8. Term and Termination

8.1. License Term

For One-Time Fee: This license is perpetual unless terminated as described below.

For Subscription: This license is valid for the current subscription period and renews automatically unless canceled.

8.2. Termination by Licensee

You may terminate this Agreement at any time by ceasing all use of LumiDSL and destroying all copies. For subscription licenses, termination takes effect at the end of the current billing period.

8.3. Termination by Licensor

The Licensor may terminate this Agreement immediately if You:

  • Breach any term of this Agreement and fail to cure the breach within 30 days of written notice
  • Use LumiDSL in a way that damages the Licensor's reputation or trademark
  • Fail to pay license fees when due (after 15-day grace period)

8.4. Effect of Termination

Upon termination:

  • You must cease all use of LumiDSL
  • You must remove LumiDSL from all products and services
  • You may continue to support existing customer deployments for a reasonable transition period (up to 90 days)
  • Fees already paid are non-refundable (except as provided in Section 4.3)

9. Confidentiality

9.1. Confidential Information

Each party may disclose certain confidential information to the other during the course of this Agreement. Confidential information includes:

  • Technical information about LumiDSL (for Licensor)
  • Business plans, pricing, and customer data (for Licensee)
  • Terms of this Agreement (unless disclosure is required by law)

9.2. Obligations

Each party agrees to:

  • Keep confidential information secret and not disclose it to third parties
  • Use confidential information only for purposes related to this Agreement
  • Protect confidential information with at least the same care used for its own confidential information

10. General Provisions

10.1. Non-Exclusive License

This is a non-exclusive license. The Licensor may grant Commercial Licenses to other parties and may continue to distribute LumiDSL under the Community License.

10.2. No Transfer

You may not assign or transfer this Agreement or your rights under it to any third party without the prior written consent of the Licensor. Exception: Transfer is permitted in the case of a merger, acquisition, or sale of substantially all of Licensee's business assets.

10.3. Governing Law

This Agreement shall be governed by the laws of France, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Paris, France.

10.4. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning LumiDSL and supersedes all prior agreements, whether written or oral.

10.5. Amendments

This Agreement may only be amended by a written document signed by both parties. The Licensor may update the standard Commercial License terms for new customers but will provide 60 days' notice before applying changes to existing licensees.

10.6. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.


11. Acceptance

By signing below or by using LumiDSL under this Commercial License, You agree to be bound by the terms of this Agreement.


This Agreement is executed electronically. By using LumiDSL under this Commercial License, Licensee confirms acceptance of all terms herein. Pantopie will provide written confirmation of the Agreement to the Licensee.
